Field Fisher Waterhouse advises UK’s largest nightclub operator on sale of 26 bars

Field Fisher Waterhouse LLP has worked alongside CMS Cameron McKenna LLP in advising Luminar Group Holdings plc, the UK’s largest operator of licensed late-night venues, on a reorganisation of their corporate structure and the subsequent sale of 26 bars to Cavendish Bars Limited.

Cavendish Bars will purchase five individual disposal companies for £1 each on a going concern basis. The disposal companies are responsible for all of the leases of the bars being sold and are contingently liable as guarantors for a number of other non-core units. These included all of the leases relating to units that were sold by Luminar to Candu Entertainment Group Limited in June 2005.

The sale completes the streamlining of Luminar’s business to 90 clubs, with an additional 18 awaiting development.

Field Fisher Waterhouse advised Luminar on real estate and IP matters, and CMS Cameron McKenna advised on corporate issues. This deal further demonstrates the strength and depth of Field Fisher Waterhouse’s multidisciplinary Hotels & Leisure Group, which acts for a range of leading companies in the sector  including Wyndham Worldwide, Holiday Inn and Whitbread.

The Field Fisher Waterhouse team was led by Head of Real Estate, Paul Houston. The team also included real estate partner Ramatu Banga, solicitor John Downs and John Olsen, Head of Trade Marks and Brand Protection.

The CMS Cameron McKenna team was led by Head of Corporate, Andrew Sheach. The team also included Alana Perrin, Nina Tsiporina, Georgina Howard and Sarah Buxton.
