Field Fisher Waterhouse advises on the
sale of Adeptra
Field Fisher Waterhouse LLP has advised long
standing client, Adeptra Limited, a leader in cloud-based customer
engagement and risk intervention solutions on the sale of the
company to FICO (NYSE:FICO), a leading provider of analytics and
decision management technology, in a deal worth $115 million.
FICO will acquire Adeptra for an all-cash
purchase price of US$115 million, subject to typical post-closing
adjustments.
Corporate partner Tim Bee led on the deal,
assisted by partners Graeme Nuttall, Mark Gearing and Derek Hill
and director James Shaw. The team advised Adeptra management
along with Adeptra’s provider of Legal Services, Jonathan Saville
of JMS Consulting Limited, on the UK and cross-border elements of
the sale, including providing advice in relation to the management
of the Company's existing shareholder and option holder base so as
to ensure an orderly and successful Closing.
