FFW advises EmdexTrade in its acquisition of CCH Europe Gmbh
20 June 2005
City law firm Field Fisher Waterhouse advised Surrey-based
EmdexTrade plc, the international trade finance company, on its
acquisition of CCH Europe Gmbh, which specialises in buying
short-term trade receivables on a fully secured credit insured
basis. The consideration of the deal was £1.2 million, which was
satisfied through the issue of new shares in Emdex.
EmdexTrade’s board believes that CCH will complement its
operations and bought the company to strengthen its business.
Following the completion of the transaction, the combined entity
will trade as CCH International plc.
The FFW team was led by corporate partner, Dominic
Gurney-Champion.
Gurney-Champion has a wide experience of smaller public company
transactions on AIM and previously advised EmdexTrade on its
admission to AIM in 2001.
Field Fisher Waterhouse's team was assisted by Michael Leue,
corporate partner in German law firm Buse Heberer Fromm. Both Buse
Heberer Fromm and Field Fisher Waterhouse are members of the
European Legal Alliance.
EmdexTrade received financial advice from its finance director,
Patrick Kennedy, who is a partner at PK Partners.
Kennedy led the financial management aspects of the deal, and
also managed the relationships with the legal team and nominated
advisers.
