FFW advises two AIM-listed clients on recent acquisitions
28 June 2005
Field Fisher Waterhouse (FFW) acted for Tower plc, an AIM-listed
investment company, on its acquisition of Maskina AS, a US and
European voice and data communications company, for a consideration
of over £7.5 million, and on its £1.8 million fundraising, by way
of a placing, open offer and subscription.
Tower plc aims to build a group providing low-cost voice and
data and added-value telephone services to fixed line and mobile
users principally in the US.
Last month, FFW advised new client AIM-listed Elevation Events
Group plc, a consolidator in the event management and corporate
hospitality sectors, on its acquisition of Senta Limited for a
consideration of up to £6.1 million.
Senta owns two subsidiaries, Event Vision and La Dolce Vita.
Event Vision offers high end corporate hospitality and organises
two main balls for the British Grand Prix and the Monaco Grand
Prix. The Silverstone Ball is held at Stowe School, near the
Silverstone circuit, on the weekend of the British Grand Prix. La
Dolce Vita has developed an international charity ball product.
Last Christmas they raised just under £900,000 for UNICEF.
Patrick Cannon, of FFW’s Corporate Group, led the teams involved
in both deals. He was assisted by partner Dominic Gurney-Champion
and solicitor George Cotter in advising Tower plc.
Robin Shannan of McClure Naismith led the team which advised
Maskina AS.
Bruce Hopkins of Hopkins & Co. advised Senta Limited.
