Guy Usher is a partner in the firm's Finance Group and heads up
the Derivatives and
Structured Finance Group. He advises on derivatives (including
netting and collateral issues), structured finance transactions,
capital markets as well as secured lending (both syndicated and
bilateral), particularly in trade and commodity finance. He advises
on both OTC and exchange-traded derivatives, including netting and
collateral issues, and on clearing and settlement of derivatives,
equities and debt instruments. Guy's clients include global
investment banks, broker-dealers, investment managers, hedge funds
and other end-users.
Recent transactions he has advised upon include:
- a German bank on a €50 million constant proportion portfolio
insurance product
- a Danish bank on a €4.3 billion liquidity facility in relation
to US and ECP conduit funding for the provision to a German bank of
credit protection on its commercial loan book
- a UK pension fund on a £50 million IPD-linked real estate total
return swap
- a hedge fund on a synthetic investment (through a repackaged
bond) in a private equity investment
- a US investment bank on the global reorganisation of its non-US
derivatives business
- an LME member on its clearing and margining arrangements with
exchanges and customers
- an investment manager on the outsourcing of its derivatives
collateral management functions
As well as sitting on various ISDA working groups, Guy regularly
speaks on derivatives at external conferences, is co-author of
FFW's highly acclaimed "Summary of ISDA Legal Opinions on Close-Out
Netting" and wrote the chapter on ISDA Documentation in the recent
book "Practical Derivatives: A Transactional Approach" published by
Globe Law and Business.
