Mark Gearing advises on the design, implementation and operation
of employee share plans including all forms of tax efficient HM
Revenue & Customs (HMRC) approved share plan. Mark advises on
the associated tax implications of operating share plans for both
the employer and employee, and negotiates share valuations with
HMRC for share plan purposes.
Mark also provides incentives advice in relation to corporate transactions, including the taxation of
founders' equity for start ups, venture capital fundraisings, IPOs and M&A/private equity. Mark's expertise covers
the tax implications of issuing restricted securities to employees
and directors.
As well as corporate related work, Mark advises senior
executives and, increasingly, investment bankers and hedge fund
managers on their equity based remuneration in both entry and exit
situations.

Mark is a member of the Share Plan Lawyers Group.
Mark gives regular seminars on employee share plans to other
lawyers, accountants and in-house counsel nationwide through BPP

employee share plans for cpdcast.com. Mark has also contributed to
a series of lectures given for the University of Cambridge Masters
in Bioscience Enterprise course.
