Mark Gearing advises on the design, implementation and operation
of employee share plans including all forms of tax efficient HM
Revenue & Customs (HMRC) approved share plan. Mark advises on
the associated tax implications of offering equity based awards for
both the employer and employee, and negotiates share valuations
with HMRC for share plan purposes.
Mark also provides incentives advice on
corporate transactions, including the taxation of founders' equity,
venture capital fundraisings, IPOs and
M&A/private equity. Mark's expertise
covers the tax implications of issuing restricted securities to
entrepreneurs, employees and directors on both acquisition and
exit.
Mark's practice covers a broad range of
sectors, but he specialises in financial
institutions, media &
entertainment, and technology &
telecommunications. A number of his clients are listed on the
AIM Market.
Mark gives regular seminars on employee share
plans to other lawyers, accountants and in-house counsel nationwide
through BPP Professional Development. He is the author of Tolley's
CSR Company Service on Employee Share Plans and has recorded
podcasts on employee share plans for cpdcast.com. Mark also
lectures on the University of Cambridge Masters in Bioscience
Enterprise course.
