Edward
Miller advises on derivatives and
structured finance transactions. On the
derivatives side, he advises on transactions over all types of
underlyings (credit, equity, commodities, etc) as well as netting,
collateral and close-outs and issues arising from specific types of
players in the derivatives markets such as UCITS III funds. He
also advises on repo transactions, including structured repos,
stocklending transactions and tri-party repo and stocklending.
His focus on the structured finance side includes placing
derivatives and liquidity facilities into structured finance
transactions (securitisations, ACBP, CDOs), capital protected and
similar structured products and structured investments in highly
leveraged ABS portfolios.
Edward’s specialises in the financial
institutions sector and his clients include global investment
banks, broker-dealers, investment managers, hedge funds and other
end-users.
Edward is lead author of the firm’s highly acclaimed Summary of
ISDA Legal Opinions on Close-Out Netting which is widely regarded
as the standard guide in the market on this topic. Edward also
contributes to various firm briefing papers and client guides.
Edward is a regular speaker on derivatives and structured
finance topics at external seminars and conferences (including the
Edinburgh Fund Managers Legal Forum and a series of seminars hosted
by a global investment bank’s collateral management division) as
well as internal client seminars.
