Our pre-eminent equity capital markets practice has extensive experience covering a wide range of transactions, including initial public offerings, secondary equity issues, restructurings, de-listings and public takeovers.
Our client base consists of companies quoted on the Official List, AIM or PLUS markets, as well as a wide range of investment banks, brokers, sponsors and nominated advisers. This comprehensive client base covers a broad range of sectors, with our lawyers particularly well placed to advice on transactions in the natural resources, TMT, financial institutions, retail and leisure, real estate, transport and life sciences sectors.
We have a strong international focus to our practice, which has seen us acting for many overseas companies seeking a primary or additional quotation in the UK. Avocet Mining plc – advising Avocet on its move from AIM to the premium listing segment of the Official List and to trading on the London Stock Exchange's main market for listed securities, with a market capitalisation in excess of £400 million.
Trap Oil Group plc – advising Trap Oil on its admission to AIM and successful placing which raised £60 million at a market capitalisation of just under £80 million.
Medusa Mining Limited - advising Fairfax in relation to the admission to the Official List of the UKLA of Medusa Mining, a company with significant gold assets in the Philippines, with a market capitalisation of £650 million.
Gulf Keystone Petroleum plc – advising Mirabaud Securities and Renaissance Capital on a placing by Gulf Keystone Petroleum, raising in aggregate US$165 million.
Evolution Securities Limited and Renaissance Capital Limited - acting for Evolution Securities and Renaissance Global in relation to the admission to AIM of Jupiter Energy Limited with a market capitalisation of £50 million.
EMED Mining plc – advising EMED Mining on its UK and Canadian fundraising, (raising CAN$ 30-35 million) and its secondary listing on the Toronto Stock Exchange.
finnCap Limited – acting for finnCap Limited in connection with the introduction of SacOil Holding Limited to AIM by way of a fast track admission at a market capitalisation of £104 million. SacOil is also listed on the Johannesburg Stock Exchange.
Ceramic Fuel Cells Limited - acting for AIM-quoted Ceramic Fuel Cells Limited on its fundraising of up to £20.5 million, which was made up of an institutional placing, a subscription by a substantial shareholder, an open offer limited to residents of the European Union and a separate rights issue limited to residents of Australia and New Zealand.
